Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Service platform (the "Platform"), operated by MOMO INVEST ("Service", "we", "us", "our"). By creating an account or using the Platform, you agree to be bound by these Terms.
1. Definitions
- Platform: The Service mobile application, web application, and all associated services
- Restaurant: A business entity that subscribes to the Platform to manage reservations and operations
- Staff Member: An individual authorized by a Restaurant to access the Platform
- Guest: An individual whose reservation data is managed through the Platform
- User: Any Restaurant, Staff Member, or Guest who accesses the Platform
- Subscription: The paid agreement between a Restaurant and Service for access to the Platform
2. Description of Services
Service provides a restaurant reservation and management platform that enables Restaurants to:
- Manage reservations and table assignments
- Configure floor plans, shifts, and booking rules
- Receive push notifications for reservation activity
- Manage staff access and permissions
- Communicate with guests regarding their reservations
Service acts as a technology provider. We are not a party to any agreement between a Restaurant and its Guests. We do not guarantee the availability, quality, or safety of any restaurant.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform.
3.2 Account Requirements
- One account per Staff Member
- You are responsible for maintaining the confidentiality of your login credentials
- You must promptly notify us of any unauthorized access to your account
- You are responsible for all activity that occurs under your account
3.3 Restaurant Accounts
The Restaurant owner or administrator is responsible for:
- The accuracy of restaurant information (name, address, opening hours, etc.)
- Managing Staff Member access and permissions
- Ensuring that authorized staff members are current employees or agents
- Promptly revoking access for individuals who are no longer authorized
4. Subscriptions and Payment
4.1 Subscription Plans
Access to the Platform requires an active Subscription. Subscription plans, pricing, and features are described on our website or communicated during the registration process.
4.2 Billing
- Subscriptions are billed on a recurring basis (monthly or annually, as selected)
- All fees are exclusive of applicable taxes unless stated otherwise
- We reserve the right to modify pricing with at least 30 days' prior notice
4.3 Cancellation
- You may cancel your Subscription at any time through the Platform or by contacting us
- Cancellation takes effect at the end of the current billing period
- No refunds are issued for partial billing periods unless required by applicable law
5. Acceptable Use
You agree to use the Platform only for its intended purpose and in compliance with applicable laws. You must not:
- Share your login credentials with unauthorized individuals
- Attempt to gain unauthorized access to the Platform, other accounts, or our systems
- Use automated tools (bots, scrapers, spiders) to access or extract data from the Platform
- Reverse engineer, decompile, or disassemble any part of the Platform
- Interfere with or disrupt the Platform's infrastructure or other users' access
- Use the Platform for any illegal, fraudulent, or harmful purpose
- Submit false, misleading, or inaccurate information
- Resell, sublicense, or redistribute access to the Platform
- Impose an unreasonable load on our infrastructure
6. Intellectual Property
6.1 Our Property
The Platform, including its design, source code, features, branding, logos, and documentation, is the exclusive property of Service and is protected by intellectual property laws.
6.2 Your Data
You retain ownership of all data you submit to the Platform (restaurant information, staff details, reservation data). By using the Platform, you grant us a non-exclusive, worldwide license to use, store, and process this data solely to provide and improve the Platform services.
6.3 Guest Data
Guest personal data collected through the Platform is processed in accordance with our Privacy Policy. The Restaurant is the data controller and Service acts as a data processor.
7. Availability and Maintenance
- We strive to maintain the Platform's availability but do not guarantee uninterrupted access
- We may perform scheduled maintenance with reasonable prior notice
- We may suspend access temporarily for emergency maintenance, security incidents, or legal compliance
- We are not liable for any loss resulting from planned or unplanned downtime
8. Liability
8.1 Our Liability
To the maximum extent permitted by applicable law:
- We provide the Platform "as is" and "as available"
- We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose, merchantability, or uninterrupted availability
- Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim
8.2 EU Consumer Protection
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Gross negligence or wilful misconduct
- Any liability that cannot be excluded or limited under applicable EU or member state law
8.3 Force Majeure
We are not liable for delays or failures in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, or third-party service outages.
9. Indemnification
You agree to indemnify and hold harmless Service, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your breach of these Terms
- Your use of the Platform in violation of applicable law
- Any dispute between a Restaurant and its Guests
10. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR.
Restaurants using the Platform acknowledge their obligations as data controllers for guest reservation data. Service acts as a data processor on behalf of the Restaurant, as detailed in our Data Processing Addendum.
11. Termination
11.1 By You
You may terminate your account at any time by contacting us or through the Platform's settings. Active Subscriptions will continue until the end of the current billing period.
11.2 By Us
We may suspend or terminate your access to the Platform, with or without notice, if:
- You breach these Terms
- Your Subscription payment fails and remains unpaid after a reasonable grace period
- Your use of the Platform poses a security risk or legal liability
- We are required to do so by law
11.3 Effect of Termination
Upon termination:
- Your right to access the Platform ceases immediately
- We will retain your data for the periods described in our Privacy Policy
- You may request export of your data within 30 days after termination
- Any outstanding payment obligations survive termination
12. Modifications to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through the Platform. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
13. Governing Law and Disputes
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.
13.2 Dispute Resolution
In the event of a dispute arising from these Terms:
- Amicable resolution: The parties shall first attempt to resolve the dispute amicably by contacting support@useservice.app
- Mediation: If the dispute is not resolved within 30 days, either party may refer it to mediation
- Courts: If mediation fails, the dispute shall be submitted to the competent courts of Paris, France
13.3 EU Online Dispute Resolution
If you are a consumer within the European Union, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
14. General Provisions
14.1 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.2 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
14.3 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
14.4 Entire Agreement
These Terms, together with our Privacy Policy and any Subscription agreement, constitute the entire agreement between you and Service regarding the use of the Platform.
